THE STANDARD RESELLER INTERFACE
Within the admin site of your base account, you will be able to easily manage your reseller accounts. Currently, we have the reseller interface divided into three areas:

Commissions Area: CLIENT ADMIN SITE Your clients will have access to a pared down version of our admin site, which will be generic and have no references to Datarealm In addition, there will be a space for you to insert your own logo in the place of Datarealm's. REGULARLY SCHEDULED CHARGES Your reseller credit card is charged once at the beginning of every month for all of your existing reseller accounts. If any of your accounts exceed the bandwidth allowance for their account during the previous month, an additional charge will also be made for that. Service periods are based on calendar months, and you are billed at the beginning of every month for that months service. If you create an account on 3/15/99, a prorated invoice will be created for the account for service from 3/15/99 to 3/31/99 and you are charged for that immediately. OTHER CHARGES Other charges would include the following: All new accounts and additional services are immediately charged a prorated rate for the days of the month in which they were created. Minimum contract accounts that are cancelled during the contract are charged for the outstanding amount owed (explained below). MINIMUM SEMIANNUAL AND ANNUAL CONTRACTS
Our normal non-reseller accounts are eligible for prepayment discounts of:
6 months of service for the price of 5 Because it is entirely possible and probable that a reseller can switch into a higher commission rate during a six or twelve month period, it is logistical nightmare to charge resellers for multiple months in advance and then figure out the discount difference that should be applied back to an account if the commission rate changes. However, we feel you should be able to take advantage of the prepayment discount we offer our normal customers. Therefore, there is a system where you can sign up for minimum semiannual or annual contracts. We will charge you each month for the account, but you are charged at the discounted rate. If you sign up for a $25/month on a semiannual contract, the actual monthly charge made on your card is $20.83 (pre-commission). At the end of semiannual or annual contract for an account, we will send you a notice informing you that the account's contract is ending and you can choose to renew it under the same conditions, renew it under a different payment conditions, or cancel it. SIGNING UP FOR NEW ACCOUNTS Resellers sign up for new accounts through the reseller account signup interface in the admin site of your base reseller account. Resellers will be charged a prorated amount for the remainder of the current month after they sign up for a new account. After that, the account is put on the regularly scheduled payment system at the beginning of every month as described above. Regarding accounts signed up for minimum semiannual or annual contract: For accounts that are signed up between the 1st through the 15th of a month, that month is counted as the first month of the semiannual or annual billing period. For accounts signed up in the latter half of a month, the following month will be counted as the start of the semiannual or annual period.

If you sign up for an account on 1/5/99, the adjusted semiannual period will
be from 1/5/99-7/1/99. Note: You will still be charged the prorated amount for the month in which the account is created COMMISSIONS The way our billing system works, the reseller commission is applied right after any charge is made to the reseller's credit card in a separate transaction. Commission Rates
Example: Moving up to a higher commission rate: Upon signing up for the new account that brings your commission rate to the next level, the prorated charge for that new account uses the new commission percentage as well as any further accounts signed up before the end of that month. At the beginning of the next month, the new commission % comes into effect for the rest of your accounts.
Example:
1/10/99 You sign up 2 new $25/month accounts.
Resellers have the ability to suspend and unsuspend access to any of your reseller accounts as well as the ability request the cancellation of any of your reseller accounts. If you cancel a minimum semiannual or annual account at any time during the contract period, you will be charged for the outstanding amount owed on the contract immediately after the account is cancelled. Regarding accounts that pay the normal monthly fee and have no minimum contracts: If you cancel an account at any time, you will be charged for any outstanding balances owed for that account (such as extra bandwidth generated during that last month of service). However, we do not issue prorated refunds for days that were not used during that month as a result of cancellation. Datarealm reserves the right to suspend and/or cancel any account for violation of its usage policy. If such an event occurs, you, the reseller, will be notified immediately by e-mail. Normal operating procedure would be: on the first violation, an e-mail is sent to the reseller warning of the violation and which account it was. It would be the reseller's responsibility to inform his/her client of the usage violation. A second violation would result in automatic suspension with another notice going to the reseller. Repeated violations would result in the automatic cancellation of the account and notification to the reseller. If a minimum contract account is cancelled by either Datarealm or the reseller for a usage violation, the reseller is still obligated to pay the outstanding amount as outlined above. A suspended account remains a billable account until officially cancelled. SOLICITATION As a reseller of Datarealm, you agree not to solicit current Datarealm customers to switch over to your reseller accounts. Conversely, Datarealm agrees not to solicity current customers of the reseller to switch over to Datarealm.
